          The member secretary welcomed all the members of the committee and all the bidders who were present in the meeting.  He explained that there will be a brief powerpoint presentation by the representatives of Ideck with regards to Health Tourism & Hospital Development Project and after the presentation the bidders can clarify their doubts regarding the contents of tender documents.  The various clarifications asked by the bidders and the answers for the same are given as under:

Can the period of construction of the project be increase by six months?

Article 1 (definitions and interpretations) of the Concession Agreement

The Scheduled Project Completion date has been extended by six months. It now stands at 30 months from the appointment date.

Does the Concession period includes the construction period of the project?

Article 2 of the Concession Agreement.

The tenure of the Concession period will be 30 years starting from  the Commercial operation Day (COD)

Can the Concessionaire be given leasehold rights on the Project Site?

In all circumstances, the Project Site remains the property of SJIC and the Concessionaire shall have no right to mortgage the same.  SJIC shall not be responsible for any encumbrances of the Concessionaire. Based on the lease hold rights, the Concessionaire is allowed to raise loans from bank/financial institution on the structure constructed/ plant and machinery installed by him.

Can the amount of the upfront payment to be paid by the Concessionaire to the SJIC on the date of appointment be reduced?

Article 7 of the Concession Agreement

The up-front payment has been reduced from 8 quarterly concession to 6 quarterly concession which has to be paid on the date of signing the agreement. Also this upfront payment amount shall be adjusted towards last 6 quarters of the concession period.

Can the amount for Performance Security be reduced? Also can the validity period for the Bank Guarantee be considered for revision?

Article 5.2 of the Concession Agreement

The Performance Security has been reduced from 4 quarterly concession payments to 2 quarterly concession payments in the form of Bank Guarantee. The validity period for the BG has been reduced to 3 years from 5 years.

Can a subsidiary of a company bidding for the project submit the Bank guarantee on behalf of the Company bidding for the Project?

 

Yes, Incase of a subsidiary company giving the BG, the company shall give an undertaking separately to SJIC.

7.

Can the Bank Guarantee be from a Foreign Bank?

-

Bank Guarantee of any Scheduled Bank in India should be given. In case the Bank Guarantee is from a foreign Bank, a Certificate of Acceptance/ Undertaking from any Scheduled Indian Bank should be enclosed along with the same.

8.

What are the structural design criteria to be considered while designing the building? What will be the implications of the revised Master Plan on the design of the project facility?

Article 3.2 (f) of the Concession Payment and Article 7.1 (d)

The building frame shall be designed to take up atleast additional 3 floors if the applicable laws permit the same in the later stage.

In case of any change in Applicable Law allowing for an increase in built – up area during the Concession Period, the Concessionaire shall construct the same by mutual consent of the Parties.

Such additional built - up area shall remain and continue to be the property of SJIC. The Concessionaire can sub - concession and collect appropriate charges / user fees for the facilities and services provided. Any modification to the Project Facilities shall be carried out with prior written permission of SJIC. The Concession Payment shall be increased on a pro-rata basis.

What is the role of the Project Engineer?

Article 6 of the Concession Agreement.

The Role of Project Engineer is advisory and he will monitor the progress of the project.  The bidders shall at their own cost get their structural designs approved by the Civil Aid/ Torsteel Research Foundation of India.

10.

Can the Financial Capability criteria in case of the Consortium be revised?

(4.5) of the RfP Document

The financial criteria can be met by combining the financial capabilities of the members of the Consortium and also by combining financial capabilities of the Group of companies and their subsidiaries.  For the purpose of verification whether it is a group company or subsidiary, the annual report /statutory auditor’s certification of the applicant company needs to be submitted for consideration.

Can the last date for the submission of the Proposal be extended?

 Schedule 1 of the RfP Document

The Last date for submission of bid documents has been extended from 31st August 2007 to 10th September 2007, 1.00 p.m..

Venue: Board Room of SJIC, Bangalore

Date of Opening of Technical Bid is on 10th September 2007 at 2.00 p.m..

Subsequently the Technical Presentation by the bidders shall be held on 14th September 2007 at 11.00 a.m..

The Financial bid of the technically qualified bidders shall be opened on 17th September 2007 at 11.00 a.m..

Can the Concessionaire Sub–Concession the property for providing ancillary facilities?

Article 3.2 (f) of the Concession Payment and Article 7.1 (d)

The Concessionaire can sub-concession the ancillary services such as Security, Travel and activities such as Saloon, Garments, Boutique, Jewellery Shop, Health Spa etc., as required in the hospitality industry.  The same could be upgraded timely for the providing better facilities in the Hotel.

Is there a possibility of extension of the Concession Period beyond 30 years?

-

The Extension of Concession period may be considered on mutually agreed basis between SJIC and the Concessionaire if permitted by the laws prevailing at that point of time.

14.

Will SJIC assist in taking clearances and approvals for the project?

Article 6.1(b) of the Concession Agreement

SJIC will assist and be pro-active in providing all necessary documents and help to get the approvals.

The Area statement on the drawing says 2acres 17 Guntas where as the document says 1.8 acres please clarify.

 

Please note that the area available for the Project Site is 1.8 acres.

On measurement of the Section 'A' & 'B' as shown in the drawing does not figure out to 1.8 acres.

 

The area earmarked for the project is 1.8 acres.  It measures 140meters along Bannerghatta Road (facing the road) and with a depth of 65meters.

As shown in the Drawing is Dormitory the part of the site i,e Section 'A' and to be Demolished in Future or Is it excluded? Please clarify.

 

Dormitory is the part of the Project Site and shall be demolished by the successful bidder and the debris there of could be retained by him.
However the SJIC is making an alternative Dormitory in the existing building

Bid processing Fee. This becomes substantial amount when calculated on NPV.  Please kindly waive it off or fix a specific amount.

 

This will be considered favorably at the time of financial bid opening.

All other minor issues will be addressed at the time of the agreement
